PLEASE READ THESE TERMS OF USE ("TERMS") CAREFULLY BEFORE DOWNLOADING, INSTALLING, OR USING THE VIDDEO APPLICATION OR WEBSITE.

1. Agreement to Terms

These Terms of Use constitute a legally binding agreement between you ("you", "your", or "User") and Viddeo ("we", "us", or "our"), governing your access to and use of the Viddeo mobile application (the "App"), the website located at viddeoai.com (the "Website"), and all related AI generation features, tools, and digital services (collectively, the "Services").

BY DOWNLOADING, INSTALLING, OPENING, OR USING ANY PART OF THE SERVICES, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE TO THESE TERMS IN THEIR ENTIRETY, YOU MUST NOT ACCESS OR USE THE SERVICES AND MUST UNINSTALL THE APPLICATION IMMEDIATELY.

2. Eligibility & Age Requirements

  1. Minimum Age: You must be at least 13 years old (or at least 16 years old if residing in the European Economic Area or United Kingdom). If you are between 13 and the age of legal majority in your jurisdiction, you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf.
  2. Legal Capacity: You represent and warrant that you have the legal right and capacity to enter into these Terms.
  3. Compliance: You represent that you are not prohibited from receiving the Services under the laws of your applicable jurisdiction.

3. Description of Services & Anonymous Account

Viddeo provides mobile generative artificial intelligence tools enabling users to generate, animate, transform, and stylize video content using text prompts, image inputs, and creative visual templates.

Anonymous Account System

  • Viddeo operates using an anonymous user account model. No password or email registration is required for core video generation.
  • Your virtual coin balance, transaction history, active subscriptions, and generation records are securely linked to an anonymous identifier associated with your device installation.
  • Account Safeguards: You are responsible for maintaining control of your device. If you delete the application or switch devices, active subscriptions can be restored through your mobile app store account via the in-app "Restore Purchases" feature.

4. User Content & Intellectual Property Rights

A. Definitions

  • "User Content" (Inputs): Any original photos, images, text prompts, graphics, or materials that you upload, capture, or submit to the Services.
  • "Generated Content" (Outputs): Any synthetic video renders, animated frames, thumbnails, or digital media produced and delivered to you by the Services based on your User Content.

B. Ownership of User Content

You retain all preexisting intellectual property rights, copyright, and ownership in and to your User Content. Viddeo does not claim ownership over your original photos or text prompts.

C. License Granted to Viddeo

By submitting User Content to the Services, you grant Viddeo a worldwide, non-exclusive, royalty-free, fully-paid license solely to host, store, transfer, analyze, transform, execute, and process your User Content to the extent strictly necessary to operate, deliver, and render your requested video generations and fulfill our contractual obligations to you.

D. User Warranties Regarding Content

You represent, warrant, and certify that:

  1. You own or possess all necessary rights, licenses, clearances, and consents to submit your User Content.
  2. If your User Content depicts any recognizable living individual, you have obtained all necessary prior consent and model releases from that individual (or their legal guardian if a minor) to upload their image for AI video generation.
  3. Your User Content does not violate or infringe upon any third-party copyright, trademark, privacy right, publicity right, or personal proprietary right.

E. Rights in AI-Generated Content (Outputs)

  1. Assignment of Rights: To the fullest extent permitted by applicable law, Viddeo assigns to you all of its right, title, and interest (if any) in and to the Generated Content created specifically in response to your valid inputs and prompts.
  2. Commercial and Personal Use: Subject to your ongoing compliance with these Terms and applicable laws, you are granted the right to use, view, export, publish, distribute, broadcast, and commercially exploit your Generated Content.
  3. Legal Nature of AI Content: You acknowledge that the legal standards governing intellectual property protection for generative AI outputs vary across jurisdictions. Viddeo makes no representation or warranty that any Generated Content is copyrightable or protectable under national intellectual property laws.

F. Viddeo Platform Intellectual Property

The Services, including all software code, user interface layouts, visual designs, template structures, animations, graphics, trademarks, logos, and proprietary systems, remain the exclusive property of Viddeo and its licensors. You may not copy, reverse-engineer, decompile, modify, or create derivative works of any part of the Services.

5. Prohibited Uses & Community Safety Guidelines

You agree not to use the Services for any unlawful, harmful, deceptive, or abusive activity. You strictly agree NOT to upload, prompt, generate, distribute, or facilitate any content that:

  1. Child Exploitation & Abuse (CSAM): Any content depicting, promoting, or encouraging the sexual exploitation or abuse of children or minors. Zero-tolerance policy: Violations result in immediate permanent banning and mandatory reporting to relevant law enforcement authorities.
  2. Non-Consensual Imagery & Deceptive Impersonation:
    • Generating non-consensual sexually explicit imagery or synthetic pornography.
    • Generating deceptive deepfakes intended to defraud, blackmail, harass, defame, or mislead others regarding real individuals without their consent.
  3. Hate Speech, Violence & Harm:
    • Generating content that promotes violence, terrorism, self-harm, suicide, or physical harm.
    • Generating hate speech or discriminatory content targeting individuals based on race, ethnicity, religion, gender, sexual orientation, disability, or national origin.
  4. Infringement & Unlawful Acts:
    • Generating content that infringes upon third-party copyrights, trademarks, or proprietary rights.
    • Facilitating fraudulent schemes, scams, or illegal acts.
  5. System Abuse & Technical Attacks:
    • Reverse-engineering, decompiling, disassembling, or extracting the source code of the App or backend services.
    • Employing automated bots, scrapers, crawlers, or scripts to flood or disrupt our infrastructure.
    • Attempting to bypass credit requirements, paywalls, or coin balance restrictions.

Viddeo reserves the right, in its sole discretion, to reject, filter, block, or remove any generation request or content that violates these safety standards.

6. Virtual Currency (Coins) & Credit Balance

  1. Nature of Virtual Coins: Viddeo may offer virtual currency ("Coins" or "Credits") available for purchase or awarded through promotional grants. Coins constitute a limited, personal, non-transferable, revocable, non-exclusive license to initiate computational video generation jobs within the App.
  2. No Real-World Monetary Value: Coins do not constitute real currency, stored financial value, or personal property. Coins cannot be exchanged, redeemed, or refunded for real-world currency, financial credits, or goods from Viddeo or any third party.
  3. Usage & Deductions: Each video generation template requires a designated Coin amount. Initiating a generation job deducts the applicable Coins from your balance. In the event of an unrecoverable server failure during rendering, deducted Coins are automatically credited back to your virtual balance.
  4. Non-Transferability: Coins are non-transferable between accounts or devices. Uninstalling the application or account termination may result in the forfeiture of unspent virtual balances.

7. Subscriptions & In-App Purchases

Viddeo offers premium subscription tiers ("Viddeo Pro") and consumable Coin packages purchased directly through your mobile device’s official app store (such as the Apple App Store or Google Play Store).

A. Billing & Auto-Renewal

  • Payment Processing: Payments are charged to your app store account at confirmation of purchase.
  • Auto-Renewal: Subscriptions automatically renew at the specified price and interval (e.g., Weekly or Yearly) unless auto-renewal is turned off at least 24 hours before the end of the current billing cycle.
  • Renewal Billing: Your account will be charged for renewal within 24 hours prior to the end of the current billing period at the then-applicable rate.

B. Free Trials

If a free trial period is offered, any unused portion of the trial will be forfeited when you purchase a subscription to that tier, where applicable.

C. Managing & Canceling Subscriptions

You may manage, change, or cancel your auto-renewing subscriptions at any time through your mobile device’s official account settings (e.g., iOS Settings > Apple ID > Subscriptions, or Google Play > Subscriptions).

D. Refunds

All in-app purchases, billing, renewals, and refunds are handled and governed exclusively by the policies of the applicable mobile app store from which you downloaded the App. Viddeo does not have direct access to your app store financial billing records and cannot issue direct monetary refunds.

8. App Store & Platform Specific Terms

If you downloaded the App from a third-party marketplace (such as the Apple App Store or Google Play Store), you acknowledge and agree that:

  1. Parties: These Terms are concluded between you and Viddeo only, and not with the app marketplace operator. Viddeo is solely responsible for the App and its contents.
  2. Scope of License: The license granted to you is a non-transferable, non-exclusive license to use the App on compatible mobile devices you own or control, subject to the usage rules set forth in the applicable app store terms of service.
  3. Maintenance & Support: Viddeo is solely responsible for providing maintenance and support for the App. The app store operator has no obligation whatsoever to furnish maintenance or support services.
  4. Warranties & Product Claims: Viddeo is solely responsible for any product warranties, product claims, consumer protection inquiries, and intellectual property claims relating to the App.
  5. Third-Party Beneficiaries: You acknowledge that the app store operators (and their subsidiaries) are third-party beneficiaries of these Terms and, upon your acceptance of these Terms, have the right to enforce these Terms against you.
  6. Export & Sanctions Compliance: You represent and warrant that you are not located in a country subject to government embargoes or designated as a prohibited party on any official government restricted party list.

9. Copyright Complaints & DMCA Policy

Viddeo respects intellectual property rights and complies with applicable copyright laws, including the Digital Millennium Copyright Act (DMCA).

If you believe that any content or template available on the Services infringes upon a copyright that you own or control, please submit a formal written notice to our Designated Copyright Agent:

Required Elements of Notice:

  1. Physical or electronic signature of the authorized copyright owner or agent.
  2. Identification of the copyrighted work claimed to have been infringed.
  3. Identification of the material claimed to be infringing, with sufficient detail to enable us to locate it within the Services.
  4. Your contact details (full name, address, telephone number, and email address).
  5. A statement of good-faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law.
  6. A statement, under penalty of perjury, that the information in the notification is accurate and that you are authorized to act on behalf of the copyright owner.

10. Generative AI Disclaimers & Nature of Outputs

YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT:

  1. Probabilistic Technology: Generative artificial intelligence systems produce output via complex algorithmic synthesis. Output results are probabilistic and experimental. Viddeo does not warrant that Generated Content will be completely accurate, photorealistic, error-free, or suitable for your specific intended use.
  2. Visual Artifacts: Generated videos may occasionally exhibit visual anomalies or synthetic distortions. You are solely responsible for reviewing all Generated Content before publishing, broadcasting, or commercializing it.
  3. Assumption of Risk: Viddeo is not liable for any claims, losses, damages, or liabilities arising from your public display, distribution, or commercialization of any Generated Content.

11. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES AND ALL GENERATED CONTENT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.

VIDDEO EXPRESSLY DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, QUIET ENJOYMENT, ACCURACY, AND NON-INFRINGEMENT. VIDDEO DOES NOT WARRANT THAT THE SERVICES WILL OPERATE UNINTERRUPTED, SECURELY, OR ERROR-FREE, OR THAT ANY DEFECTS WILL BE CORRECTED.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL VIDDEO, ITS DIRECTORS, EMPLOYEES, AFFILIATES, AGENTS, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES (INCLUDING LOSS OF PROFITS, DATA, GOODWILL, BUSINESS INTERRUPTION, OR REPUTATION) ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICES OR GENERATED CONTENT, REGARDLESS OF THE LEGAL THEORY (CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE), EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VIDDEO’S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT ACTUALLY PAID BY YOU TO VIDDEO THROUGH IN-APP PURCHASES IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE CLAIM; OR (B) FIFTY UNITED STATES DOLLARS ($50.00 USD).

13. Indemnification

You agree to defend, indemnify, and hold harmless Viddeo, its affiliates, officers, directors, contractors, and employees from and against any claims, liabilities, damages, judgments, awards, losses, costs, and expenses (including reasonable legal and attorney fees) arising out of or relating to:

  1. Your violation of these Terms;
  2. Your User Content or use of the Services;
  3. Any infringement or violation of any third-party intellectual property, privacy, or publicity rights resulting from your inputs or generated outputs; or
  4. Your violation of any applicable laws or regulations.

14. Dispute Resolution & Governing Law

  1. Governing Law: These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.
  2. Informal Dispute Resolution: Before initiating formal legal proceedings, you and Viddeo agree to attempt to resolve any dispute or claim informally by contacting support@viddeoai.com.
  3. Binding Arbitration & Class Action Waiver: Any dispute that cannot be resolved informally shall be resolved by binding individual arbitration administered under the commercial rules of the American Arbitration Association (AAA). YOU AND VIDDEO AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

15. Modifications to Terms

We reserve the right to update or modify these Terms at any time. We will indicate that updates have occurred by updating the "Last Updated" date at the top of these Terms.

For material changes, we will provide advance notice through the App or on the Website. Your continued use of the Services following the posting of updated Terms constitutes your binding acceptance of the changes.

16. Severability & Entire Agreement

If any provision of these Terms is deemed unlawful, void, or unenforceable, that provision shall be deemed severable and shall not affect the validity or enforceability of any remaining provisions. These Terms, together with the Privacy Policy, constitute the entire agreement between you and Viddeo regarding your use of the Services.
